Professional and Enterprise editions require a valid license purchase. The license grants you the right to use the Software according to the specific license terms purchased. Commercial use is permitted only with a valid commercial license.

The Software, including all content, features, functionality, design, and documentation, is owned by Bandisoft and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted to you are reserved by Bandisoft.
The Bandizip name, logo, and related marks are trademarks of Bandisoft. You may not use these marks without our prior written permission.
We reserve the right to modify, update, or discontinue the Software at any time, with or without notice. We may release updates to fix bugs, add features, or improve performance. You are not required to install updates, but some features may require the latest version.
We may modify these Terms at any time. Material changes will be notified through the Software or our website. Your continued use of the Software after such changes constitutes acceptance of the modified Terms.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that the Software will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that any defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BANDISOFT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.
Our total liability for any claims arising from or related to the Software shall not exceed the amount you paid for the Software, if any, or $50 USD, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Bandisoft and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Software will cease immediately.
You may stop using the Software at any time by uninstalling it from your devices.
The Software may include or link to third-party software, services, or content. We are not responsible for the availability, accuracy, or content of such third-party resources. Your use of third-party software or services is subject to their respective terms and conditions.
You may not export or re-export the Software in violation of any applicable laws or regulations, including export control laws of the United States and other countries. You represent and warrant that you are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bandisoft operates, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Software shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the appropriate courts of competent jurisdiction.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and any additional terms specific to your license, constitute the entire agreement between you and Bandisoft regarding the Software and supersede all prior agreements and understandings.
